Wyoming LLC Guide for Non-Residents

A Wyoming LLC is the most common US entity structure for non-residents who want privacy, low tax, and bank-friendly formation. This guide covers the five stages from formation to a funded US bank account.

Stage 1 — Entity formation: file Articles of Organization with the Wyoming Secretary of State via a registered agent. Cost: $100 state filing + $50-200 registered agent annually. Timeline: same-day to 3 business days.

Stage 2 — EIN without SSN: submit Form SS-4 to the IRS by fax. Non-US applicants cannot file online. Timeline: 4-6 weeks (faster via fax than mail).

Stage 3 — Physical business address: this is the step that most non-residents get wrong. Registered-agent address is not sufficient. Get a real commercial sublease or physical office lease before applying to banks.

Stage 4 — KYB package assembly: formation docs, EIN letter, operating agreement, beneficial-ownership declaration (for FinCEN), and a valid physical address with utility bill.

Stage 5 — Bank application: apply to 2-3 banks in parallel. International-friendly options in 2026 include Airwallex, Relay, Bluevine, Novo. Mercury and Chase acceptance has tightened — budget for rejections and retry with different banks.
